There are nine steps to board building.  Organizations often times will find themselves stuck in a part of the cycle requiring expert consultation.  You should always be doing all of the following nine steps:

Step 1:  Identify the needs of the board.
Step 2:  Cultivate potential board members.
Step 3:  Recruit prospects.
Step 4:  Orient new board members.
Step 5:  Engage all board members.
Step 6:  Educate the board.
Step 7:  Rotate the board members.
Step 8:  Evaluate the board as a whole.
Step 9:  Celebrate!

The Ten Basic Responsibilities of Non Profit Boards

  1.  Determine the organization's mission and purpose.
  2.  
Select the chief executive
  3.  Support the chief executive &assess the Executive Director's performance.
  4.  Ensure effective organizational planning.
  5.  Ensure adequate resources.
  6.  Manage resources effectively.
  7.  Determine, monitor & strengthen the programs & services.
  8.  Enhance the organization's public image.
  9.  Ensure legal & ethical behavior & maintain accountability.
10.  Recruit & orient new board members & assess board performance.

To Accomplish the Responsibilities the Board Must:

  • Fulfill all of the IRS & state not-for-profit reporting requirements.

  • Set policy & establish organizational goals.

  • Hire the Executive Director.

  • Evaluate the Executive Director's Performance in writing annually.

  • Ensure that the fiscal policies are in place and followed.

  • Help develop and adopt budgets.

  • Review and amend bylaws every two years.

  • Ensure compliance with funding sources policies & regulations.

  • Establish personnel policies and monitor their compliance.

  • Nominate and elect officers.

  • Represent the organization in public with the constraints of a media policy.

  • Help recruit new board members.

  • Oversee fundraising and/or raise funds.

  • Perform volunteer program work.

A "Businesslike" Board of Directors:
  • Knows and understands the organization's mission.

  • Knows the community.

  • Deals with policy issues.

  • Serves as the check and balance on the staff and the funders.

  • Needs information, experience, character & support to know how to decide key issues quickly & effectively.

  • Needs to know when to say "no" to a good idea.

Staff Responsibilities to the Board of Directors:

  • To be given accurate, timely, honest and focused information.

  • To be regularly informed of new developments.

  • To be given staff recommendations made upon gathering & analyzing relevant data.

  • To be given appropriate fiscal information.

  • To have a process for orienting & educating all board members.

  • To be provided support for board recruitment & development.

  • To support board committees & provide them with the information & expertise they need.

  • To attend all meetings of the board unless excused.
